Language Services
- The following Terms of Service (the Terms) shall be deemed
to be accepted by and binding upon the Client (Client) and
upon Optimum-translations, at the Client's request for translation,
proof-reading, glossary compilation and transcription.
- The Client at its own expense shall supply Optimum-translations
with all necessary source material within sufficient time
to enable Optimum-translations to provide the services in
accordance with the Terms. The
Client shall ensure and be responsible for the accuracy
of all source material.
- The Client shall at its own expense retain duplicate
copies of all source material and insure against its accidental
loss or damage. Optimum-translations shall have no liability
for any such loss or damage however caused. All
translation work material shall be at the sole risk of the
Client from the time of delivery to the Client.
- Any information provided by
either party to the other which is designated confidential
or, which is by its nature clearly confidential, shall be
kept confidential by the receiving party. The foregoing
shall not apply to anything which is; public knowledge through
no default of the disclosing party or is lawfully disclosed
to the disclosing party without restriction by a third party
who did not obtain the same (whether directly or indirectly)
from the other party.
- Optimum-translations shall
not be liable to the Client under or in connection with
the Terms whether in contract, tort, or otherwise
for any indirect, economic or consequential loss whatsoever,
for any loss of business, loss of contracts, loss of profits,
loss of use, loss of goodwill or loss of reputation even
if such loss was reasonably foreseeable.
- Optimum-translations shall have
no liability to the Client for any losses, damage, costs,
expenses or other claims for compensation arising from or
in relation to any source material or instructions supplied
by the Client which are incomplete, incorrect, inaccurate,
ambiguous, illegible, out of sequence or in the wrong order
or arising from their late arrival or non-arrival or any
other fault of the Client.
- Optimum-translations shall provide
services to the Client using reasonable skill and care and
as far as reasonably possible in accordance with the standards
of the industry.
- Optimum-translations shall not
be liable to the Client or be deemed to be in breach of
the Terms by reason of any delay in performing or
failure to perform any of Optimum-translations obligations
in relation to the services if the delay or failure was
due to any cause beyond Optimum-translations' reasonable
control.
- Our payment terms are strictly
fifteen (15) days from invoice date. A 3% discount is applicable
for payment in advance and a 2% discount is applicable
for payment within 3 days. Invoices unpaid at thirty (30)
days after the billing date may bear interest at 2.5% over
HSBC Bank plc rate per calendar month.
- The Client will be liable to
a fee for any translation, proof-reading, glossary compilation
and transcription work - be it in-house or off-site - carried
out. Therefore the Client agrees to pay Optimum-translations
either a fee per 1000 words translated, or an hourly charge,
which is confirmed at the time of booking. The advised charges
will be those in force for the duration of the services.
Details of charges are available on application and are
calculated at rates varying according to the level, format
and deadline required. Our minimum charge for in-house assignments
is four (4) hours multiplied by the agreed hourly rate charge,
and for off-site work, a minimum charge is payable for each
document under 500 words. VAT shall be charged in addition.
- The Client shall be liable for
and shall reimburse Optimum-translations for all costs and
expenses incurred by Optimum-translations arising
in respect of any steps, actions or proceedings made or
brought against the Client by Optimum-translations to obtain
payment of outstanding sums due.
- In cases of amendment to the
translation, deemed necessary by the Client, after completion
of the assignment due to:
a) changes in the original document, the Client
will be invoiced at a fee mutually agreed by Optimum-translations
and the Client or;
b) mistakes in the translated document, (for our purposes
mistakes will be defined as spelling and/or grammatical
and/or misinterpretation of the original text) the Client
agrees to return within seven (7) working days their comments
and justifications, clearly marked, in order for Optimum-translations
to make the necessary corrections. If the Client fails to
do so within seven (7) working days, the Client
will be deemed to have accepted and approved the services
and Optimum-translations shall have no liability for any
defect in the quality of the services and the Client
shall be bound to pay the charges or any other sums due
under the Terms. If the Client does return the comments
and justifications, clearly marked within seven (7) working
days, Optimum-translations agrees to correct the translation
free of charge and at its discretion a discount may be granted
on the original invoice fee.
- Advanced acceptance of the
proposed services of Optimum-translations will be deemed
acceptance of our Terms.
- No variation can be made to
these Terms without prior written notification from Optimum-translations.
